Platform Usage Terms

Last updated: August 4, 2026

These Terms of Service govern your use of the Cromus website and platform operated by CROMUS LLC, a Florida limited liability company. By accessing or using Cromus, you agree to these terms. For information on how we handle your data, see our Privacy Policy.

1. Use of the Platform

Cromus provides tools for designing, simulating, governing, and optimizing AI workflows — including the Specialist CI pipeline reviewer, the Manager stack-oversight layer, and the CWO governance sign-off. Users agree to use the platform responsibly and in compliance with applicable laws. You may not use Cromus on behalf of another person or organization without their authorization.

2. Accounts

To access certain features, you must create an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. Notify us immediately at contact@cromus.ai if you suspect unauthorized access.

3. Subscriptions and Billing

Paid plans are billed monthly or annually in advance. By subscribing, you authorize Cromus to charge your payment method on a recurring basis until you cancel.

  • Free trial — Paid plans include a 14-day free trial. You will not be charged until the trial ends. You may cancel at any time during the trial without charge.
  • Auto-renewal — Subscriptions renew automatically at the end of each billing period unless cancelled before the renewal date.
  • Cancellation — You may cancel at any time from your account settings. Access continues until the end of the current paid period; no partial-period refunds are issued unless required by applicable law.
  • Refunds — Cromus does not offer refunds for unused portions of a billing period except where required by law. If you believe a charge is in error, contact contact@cromus.ai within 30 days of the charge.
  • Price changes — Cromus may change plan prices with at least 30 days' notice. Continued use after the effective date constitutes acceptance of the new price.
  • Taxes — Prices are exclusive of applicable taxes, which will be added at checkout where required.

4. Founding Member Rate Lock

Subscribers who purchase a Founding Member plan before all available spots are claimed are entitled to the locked monthly rate for as long as their subscription remains active and in good standing. The rate lock is personal and non-transferable. It lapses if the subscription is cancelled, downgraded, or the account is suspended for a violation of these Terms, and cannot be reinstated once lapsed. Cromus reserves the right to discontinue the Founding Member offer at any time for new subscribers; existing rate-locked subscribers are unaffected.

5. API Key & OAuth Client Security

You are responsible for safeguarding any personal API key (crm_…) issued to your account and for the integrity of any OAuth client you authorize to access Cromus on your behalf (for example, Claude Cowork, Claude Code, or the OpenAI Codex CLI). If you suspect a key or client is compromised, revoke it immediately at /app/settings/api-keys. We are not liable for tool calls made by a compromised key or client prior to revocation.

6. User Content

You retain ownership of the content you create in Cromus — including SKILL.md files, ETHOS.md, MEMORY.md, workflow graphs, SOPs, and simulation inputs. By using the platform you grant Cromus a limited, non-exclusive license to store, process, and display that content solely to provide the platform's functionality to you.

You represent that your content does not violate third-party intellectual property rights, applicable laws, or these Terms. Cromus may remove content that violates these Terms.

7. Intellectual Property

The Cromus platform, its design, software, the Croms™ scoring methodology, the Specialist/Manager/CWO role framework, and all associated trademarks and service marks are the exclusive property of CROMUS LLC. Nothing in these Terms transfers any ownership of Cromus intellectual property to you. You may not reproduce, reverse-engineer, resell (except as permitted under a White Label plan), or create derivative works from Cromus's proprietary components without prior written consent.

8. White Label and Resale

White Label plan subscribers are granted a limited, non-exclusive, non-sublicensable right to resell access to Cromus-powered client workspaces under their own brand, subject to the following conditions:

  • You may not represent Cromus's platform as your own original software to end clients.
  • You remain responsible for your clients' compliance with these Terms.
  • Client workspaces count against your plan's included workspace limit. Additional workspaces may be purchased at the then-current add-on rate.
  • The White Label right lapses immediately upon cancellation or termination of your subscription.
  • Cromus reserves the right to revoke White Label rights if the plan is used in a manner that damages the Cromus brand or violates these Terms.

9. Prohibited Uses

You may not use Cromus to:

  • Violate applicable laws or regulations
  • Infringe third-party intellectual property rights
  • Attempt to probe, scan, or disrupt platform infrastructure
  • Distribute malicious software or harmful content
  • Circumvent usage limits, plan entitlements, or access controls
  • Scrape, crawl, or programmatically extract platform data at scale without written authorization
  • Resell or sublicense access except as expressly permitted under a White Label plan

10. Termination

You may close your account at any time. Cromus may suspend or terminate your account immediately, without prior notice, if you breach these Terms, fail to pay amounts owed, or if continued access would expose Cromus or its users to legal or security risk. Upon termination, your right to access the platform ceases immediately. Sections 7 (Intellectual Property), 11 (Warranty Disclaimer), 12 (Limitation of Liability), 13 (Indemnification), and 14 (Governing Law) survive termination.

11. Warranty Disclaimer

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. CROMUS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. COST SIMULATIONS, CROMS SCORES, AND GOVERNANCE OUTPUTS ARE ESTIMATES BASED ON DETERMINISTIC MODELS — THEY DO NOT CONSTITUTE FINANCIAL, LEGAL, OR PROFESSIONAL ADVICE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CROMUS'S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATED TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE FEES YOU PAID TO CROMUS IN THE TWELVE MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL CROMUS BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless CROMUS LLC and its officers, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising from your use of the platform, your content, your violation of these Terms, or your violation of any third-party rights.

14. Governing Law and Disputes

These Terms are governed by the laws of the State of Florida, USA, without regard to its conflict-of-law provisions. Any dispute arising under these Terms shall be resolved exclusively in the state or federal courts located in Florida, and you consent to personal jurisdiction in those courts. Before initiating formal proceedings, both parties agree to attempt good-faith resolution by contacting contact@cromus.ai.

15. Third-Party Marketplace Listings

Cromus may distribute its connector through third-party marketplaces (the Anthropic Cowork connector directory, the OpenAI Codex plugin marketplace, and others). The terms of those marketplaces apply to your use of the connector through them, in addition to these Terms. The Cromus service itself remains governed solely by these Terms and the Privacy Policy.

16. Service Availability

Cromus may update, modify, or discontinue features at any time to improve the platform. While we strive for reliability, uninterrupted service cannot be guaranteed. We will endeavor to provide advance notice of material changes that affect paid functionality.

17. Changes to the Terms

Cromus may update these Terms periodically. Material changes will be communicated via email or an in-app notice at least 14 days before taking effect. Continued use of the platform after the effective date constitutes acceptance of the updated Terms.
